BarnBite Terms and Conditions

Welcome to BarnBite. These Terms and Conditions govern your access to and use of BarnBite.ca, including the marketplace, listings, messaging, checkout, delivery, pickup, account, and related services. By accessing or using BarnBite, you agree to these terms. If you do not agree, please do not use the website or services.

1. Marketplace Role

BarnBite provides an online marketplace that helps buyers discover and purchase products from independent farms, growers, food producers, farm stores, farmers markets, and other sellers. Unless BarnBite expressly states otherwise, BarnBite is not the producer, seller, packager, inspector, carrier, or guarantor of products listed by users.

Sellers are independent third parties. Any purchase made through BarnBite is a transaction between the buyer and the seller, with BarnBite providing platform, payment, listing, communication, and related support tools.

2. Account and Website Use

You are responsible for keeping your account information accurate, current, and secure. You must not use BarnBite for any illegal, misleading, harmful, abusive, or unauthorized purpose, and you must not interfere with the security, availability, or proper operation of the website.

BarnBite may suspend or remove accounts, listings, messages, reviews, or content when we believe they violate these terms, create risk, are inaccurate or misleading, or may harm users, sellers, the platform, or the public.

3. Seller Responsibilities

Sellers are solely responsible for their listings, product descriptions, prices, availability, photos, claims, packaging, labelling, handling, storage, delivery promises, pickup arrangements, customer communication, taxes, and legal compliance.

Sellers must comply with all applicable municipal, provincial, territorial, and federal laws, rules, standards, permits, licences, inspections, and approvals that apply to their products and business activities. This includes, where applicable, food safety, public health, labelling, weights and measures, consumer protection, tax, farm gate sales, meat inspection, dairy, eggs, prepared foods, and delivery requirements.

4. Food, Meat, Dairy, Allergens, and Product Safety

Food products can involve specific safety, storage, temperature, allergen, inspection, and handling requirements. Sellers are solely responsible for ensuring that food, meat, dairy, eggs, prepared foods, jarred goods, and other regulated products are legally offered, accurately described, safely handled, and suitable for sale.

BarnBite does not independently inspect, test, certify, verify, or guarantee any product, seller facility, farm, kitchen, storage method, delivery method, label, ingredient list, allergen statement, licence, permit, or inspection status. Buyers are responsible for reviewing listings carefully and contacting sellers with questions about ingredients, allergens, handling, storage, pickup, delivery, or product suitability before purchasing.

5. Buyer Responsibilities

Buyers are responsible for reviewing product details, seller information, pickup or delivery terms, quantity, price, fees, and any special instructions before placing an order. Buyers are also responsible for providing accurate contact, pickup, delivery, and payment information.

After receiving food or perishable goods, buyers are responsible for safe handling, storage, refrigeration, preparation, and consumption. BarnBite is not responsible for product quality or safety issues caused by buyer handling after pickup or delivery.

6. Payments, Fees, and Payouts

Payments on BarnBite may be processed through Stripe or other third-party payment providers. Payment processing is subject to the provider's own terms, fees, policies, verification requirements, holds, reversals, and payout schedules.

BarnBite charges a 7% platform fee on transactions made through the platform. This fee is deducted from the buyer's payment before the remaining funds are distributed to the seller. Sellers are responsible for applicable Stripe processing fees and any other payment-related charges that apply to their account or transactions.

Payout timing may vary based on Stripe settings, verification requirements, risk reviews, bank processing times, holidays, chargebacks, refunds, or other payment provider policies.

7. Pickup, Shipping, and Delivery

Sellers are responsible for clearly stating pickup, shipping, or delivery options and for fulfilling orders according to the terms shown in their listings or agreed with the buyer. Delivery fees are set by the seller and paid to the seller unless otherwise stated.

Once an order leaves the seller's possession or is transferred to a delivery, shipping, or pickup process, BarnBite is not responsible for delays, failed delivery attempts, damage, spoilage, loss, theft, temperature issues, or other issues outside BarnBite's direct control. Buyers and sellers should communicate directly to resolve fulfillment concerns.

8. Refunds, Cancellations, and Disputes Between Users

Unless a seller states otherwise or applicable law requires otherwise, sales are final. Buyers who are dissatisfied with a product or order should contact the seller directly. BarnBite may help facilitate communication, but BarnBite is not responsible for issuing refunds, accepting returns, replacing products, or resolving product disputes between buyers and sellers.

A buyer may request a refund if a purchased order has not been delivered within two weeks of the order date. BarnBite may review the request and, if approved, process a refund according to our internal policies. BarnBite may deny a refund request if records indicate successful delivery, pickup, fulfilment, buyer error, seller compliance, or if the request does not meet the stated criteria.

9. User Content and Reviews

Users are responsible for any listings, photos, descriptions, messages, reviews, comments, profile information, or other content they submit to BarnBite. You must not post content that is false, misleading, defamatory, infringing, unlawful, harassing, abusive, unsafe, or otherwise inappropriate.

By submitting content, you grant BarnBite permission to display, store, reproduce, resize, modify for formatting, and use that content as needed to operate, promote, protect, and improve the platform.

10. Intellectual Property

The BarnBite name, logo, website design, software, written content, graphics, and other platform materials are owned by BarnBite or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or use BarnBite materials without prior written permission, except as allowed by law.

11. Third-Party Services

BarnBite may rely on third-party services such as Stripe, Google Maps, Google reCAPTCHA, hosting providers, email tools, analytics tools, and other service providers. BarnBite is not responsible for third-party websites, services, outages, fees, data practices, policies, errors, or decisions.

12. Location Data

BarnBite may use location data to show nearby products, farms, farm stores, farmers markets, delivery options, and other local results. Location data may come from your browser, device, search input, account settings, or third-party services such as Google Maps.

You can disable location services through your browser or device settings, but some location-based features may not work as intended. BarnBite does not intend to permanently store precise live location data from your active browsing session unless needed to provide the service, protect the platform, comply with law, or maintain ordinary business records.

13. Google reCAPTCHA

BarnBite uses Google reCAPTCHA to help protect the website from spam, abuse, automated access, and fraud. reCAPTCHA may collect information about your device, browser, IP address, interactions, and use of the website to determine whether activity appears to be human or automated.

reCAPTCHA information is processed by Google and is subject to Google's Privacy Policy and Terms of Service.

14. No Warranties

BarnBite is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BarnBite makes no warranties, representations, or guarantees about the website, services, listings, sellers, buyers, products, product quality, product safety, legality, availability, delivery, pickup, accuracy, completeness, uninterrupted access, or error-free operation.

15. Limitation of Liability

To the fullest extent permitted by law, BarnBite and its owners, directors, officers, employees, contractors, agents, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, loss of data, business interruption, personal injury, property damage, product spoilage, product contamination, allergic reaction, illness, regulatory issue, delivery failure, payment issue, or dispute between users arising from or related to your use of BarnBite.

To the fullest extent permitted by law, BarnBite's total liability for any claim arising from or related to the website, services, listings, orders, payments, or these terms will be limited to the greater of the amount of platform fees BarnBite received from the specific transaction giving rise to the claim or $100 CAD.

Nothing in these terms limits liability that cannot legally be limited or excluded under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless BarnBite and its owners, directors, officers, employees, contractors, agents, affiliates, and service providers from and against any claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of BarnBite, your products, your listings, your content, your transactions, your violation of these terms, your violation of law, or your infringement of another person's rights.

17. Changes to the Service or Terms

BarnBite may modify, suspend, or discontinue any part of the website or services at any time. BarnBite may also update these terms from time to time. Continued use of BarnBite after updated terms are posted means you accept the updated terms.

18. Governing Law and Dispute Resolution

These terms are governed by the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict of law rules. Before starting a formal claim, you agree to contact BarnBite and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, it will be handled in the courts or other dispute resolution forum with jurisdiction under applicable law.
